AFFILIATE AGREEMENT

(TERMS AND CONDITIONS FOR PARTICIPATION IN LA TIENDA INC.'S AFFILIATE PROGRAM)

IN ORDER TO BE AN AUTHORIZED MEMBER OF THE TIENDA INC. AFFILIATE PROGRAM, YOU MUST AGREE TO ABIDE BY ALL OF THE TERMS AND CONDITIONS CONTAINED IN THIS MEMBERSHIP AGREEMENT. WE ASK THAT YOU PLEASE READ THIS AGREEMENT CAREFULLY BEFORE REGISTERING AND BECOMING AN AFFILIATE OF TIENDA INC. FEEL FREE TO CONTACT US WITH ANY QUESTIONS. BY SUCCESSFULLY REGISTERING FOR AND USING THE TIENDA INC. AFFILIATE PROGRAM YOU INDICATE YOUR ACCEPTANCE OF THIS AGREEMENT AND ITS TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT THIS AGREEMENT, DO NOT USE THE TIENDA INC. AFFILIATE PROGRAM.

MEMBERSHIP AGREEMENT FOR SITE OWNERS

This Membership Agreement (the "Agreement") is made by and between Tienda Inc. and you, as a site owner participant in the Tienda Inc. Affiliate Program ("You" or "Partner").

1. The term of this Agreement will begin upon your successful completion of the Affiliate application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause. You are only eligible to earn referral fees on sales occurring during the term.

2. Tienda Inc. may, in its sole discretion, terminate or suspend Your access to all or part of the Service for any reason, including without limitation, breach of this Agreement, or assignment of this Agreement by You.

3. As part of the registration process, You will select a password and a user name. You shall provide Tienda Inc. with accurate, complete and updated registration information. You may not select a screen name of another person with the intent to impersonate that person.

4. You agree that Tienda Inc. may rely on any data, notice, instruction or request furnished to Tienda Inc. by You which is reasonably believed by Tienda Inc. to be genuine and to have been sent or presented by a person reasonably believed by Tienda Inc. to be authorized to act on Your behalf. You shall notify Tienda Inc. at contact@tienda.com of any known or suspected unauthorized uses of Your account, or any known or suspected breach of security, including loss, theft or unauthorized disclosure of Your password. You shall be responsible for maintaining the confidentiality of Your password and you are responsible for all usage and activity on Your account, including use of the account by a third party authorized by You to use Your account. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination by Tienda Inc. and referral to the appropriate law enforcement agencies.

5. Tienda Inc. reserves the right to send e-mail to You for the purposes of informing you of applicable Offers, changes or additions to the Service or any Tienda Inc. related products and services.

6. Tienda Inc. may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on this site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

7. TIENDA INC. SHALL NOT BE LIABLE FOR (I) ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE TIENDA INC. WEBSITE, SERVICE OR ANY INFORMATION PROVIDED ON TIENDA INC.'S WEBSITE OR ANY OTHER HYPERLINKED WEBSITE, INCLUDING WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM OR OTHERWISE, EVEN IF TIENDA INC. OR A TIENDA INC. AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE WEBSITE OR ANY HYPERLINKED WEBSITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, TIENDA INC.'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. THIS PARAGRAPH WILL SURVIVE THE FAILURE OF ANY EXCLUSIVE OR LIMITED REMEDY.

8. TO THE FULLEST EXTENT PERMISSABLE PURSUANT TO APPLICABLE LAW, TIENDA INC. DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE SERVICE, ITS USE, THE RESULTS OF SUCH USE, LINKS AND LINKED SITES. WITHOUT LIMITING THE FOREGOING, TIENDA INC. SPECIFICALLY DISCLAIMS ANY WARRANTY (A) THAT THE FUNCTIONALITY WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THAT DEFECTS WILL BE CORRECTED, (C) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (D) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, OR (E) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY. APPLICABLE LAW MAY NOT ALLOW T HE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

9. The obligations of TIENDA INC. are solely corporate obligations, no affiliate, stockholder, director, officer, employee, consultant or agent of Tienda Inc. shall be subject to any personal liability whatsoever to You or any of its affiliates, stockholders or creditors or any other person or entity, nor will any such claim be asserted (directly, derivatively or otherwise) by or on behalf of You or any of Your successors and assigns.

10. You will be paid a referral fee according to your affiliate sign-up status. Referral fee remittances will be made once monthly unless an affiliate earns less than $25 in commissions for that month. If less than $25 is earned, the affiliate's total will be added to the next month's total, and so on, with payment deferred until cumulative commissions exceed $25. Deductions may be made for customer cancellations, payment reversals, or corrections.

11.You may not seek to purchase or register any keywords, search terms or other identifiers that include the words "La Tienda.com","Tienda.com" or variations thereof for use in any search engine, portal, sponsored advertising service or other search or referral service. If we determine, in our sole discretion, that you have engaged in any of the foregoing activities, we may (without limiting any other rights or remedies available to us) withhold any referral fees otherwise payable to you under this Agreement and/or terminate this Agreement.

12.Tracking of affiliate orders will be accomplished by use of a "cookie" which automatically expires 90 days from the date of first purchase. After that point in time, customers purchasing through the La Tienda website may not generate a commission to the affiliate.

13. Controlling Law and Severability. This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, without regard to its conflict of law provisions. In the event of any dispute concerning the Tienda Inc. Affiliate Program, or any matter related to this Agreement, You agree that the litigation shall be in state or federal courts in Williamsburg, VA. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

14. Entire Agreement. This Agreement constitutes the entire agreement between Tienda Inc. and You pertaining to the subject matter hereof, and any and all written or oral agreements heretofore existing between the parties hereto are expressly cancelled. Continued participation in this program represents agreement to the terms detailed herein, including any subsequent modifications implemented by Tienda Inc.

15. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT TIENDA INC. MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
